Terms and conditions of Lumbio for B2B supplies, projects, installations, service and related performance.
These terms define the basic rules for B2B supplies of goods, lighting solutions, project services, installations, control, monitoring, service and related performance provided by Lumbio s.r.o., Company ID 27483479, with registered office at Kovářova 26/12, 155 00 Praha 5, Czech Republic, e-mail info@lumbio.cz, phone +420 773 791 207.
If an individual contract, offer, confirmed order, project documentation or service agreement contains different terms, that individual arrangement takes precedence.
For the purposes of these terms, a specific engagement means an individual order, confirmed offer, contract, project, service intervention or another separately agreed performance between Lumbio and the customer.

1. Scope
These terms may apply especially to supplies of luminaires, components, control elements, sensors, LED Glass, PDLC and related goods; lighting audits, designs, calculations, technical studies and project consultations; implementation, installation, assembly, commissioning and start-up; lighting control, monitoring, remote supervision and related service.
They are intended for entrepreneurs, companies, cities, institutions and other professional customers. The public wording serves as a general framework; individually agreed documents are decisive for each specific engagement.
2. Offer, order and contract formation
A contractual relationship is created especially by order confirmation, acceptance of an offer, contract signature or start of performance based on the parties' agreement. In a B2B relationship, the contractual relationship may also be created orally if the parties' conduct makes clear what is to be provided and that they intend to start cooperation.
If the contractual relationship is created orally or informally, its scope should later be confirmed by e-mail, record, order, offer or another traceable form.
The description of goods, technical parameters, scope of services, deadline and price is based on the specific offer, contract, datasheet, project documentation or confirmed order.
If documents conflict, the following order of priority applies: individual contract, confirmed offer or order, technical specification or project documentation, and only then these terms.
3. Customer cooperation
The customer must provide cooperation necessary for design, supply, installation or service. This includes especially access to the site, operating information, building readiness, electrical installation, technical documents, floor plans, deadlines, safety rules and persons authorized to act for the customer.
If the customer does not provide necessary cooperation, delivery deadlines may be postponed and Lumbio may charge reasonable additional costs, for example a repeat site visit, waiting time, redesign or scope changes.
If the customer does not provide necessary cooperation or is late with payment, Lumbio may, after prior notice, suspend further work, supplies, service or related performance. Deadlines are reasonably extended in such cases.
4. Technical documents and resulting effect
Lumbio may design lighting as a functional system or work from a specific order, assignment or technical specification provided by the customer. If Lumbio designs the solution as a system, the resulting effect depends on the type of space, building readiness, daylight, surfaces, installation, control, scene settings, operating mode and other input conditions.
Technical documents, lighting calculations, visualizations, recommendations or indicative economic calculations serve as expert input. Unless explicitly marked as a binding guarantee, they are not a separate promise of a specific result if input conditions change.
Wellbeing and comfort claims relate to the designed lighting parameters, visual conditions, ergonomics and operating settings. They are not health claims or a substitute for professional medical assessment.
5. Scope changes, additional work and reduced work
If the customer changes the agreed scope, technical documents, required scope, deadline, place of performance, site readiness or other input conditions after confirmation, this may be treated as a change request.
A change request may affect price, deadline, technical solution, product availability, service scope or related work. Lumbio has the right to assess the change and propose adjusted terms.
Additional work, reduced work or scope changes should be confirmed in writing, by e-mail, record, order or another traceable form. If the customer asks for immediate implementation of a change and Lumbio starts performing it, the change may also be considered approved based on the parties' subsequent conduct.
6. Price and payment terms
The price is defined in the confirmed offer, contract or order. Unless stated otherwise, prices exclude VAT and items not expressly included in the offer.
Invoices are due 14 days from issue date, unless the specific offer, contract, order or invoice provides otherwise. Lumbio may require an advance payment, milestone invoicing or payment before delivery, especially for project and custom supplies.
If payment is overdue, Lumbio may suspend further performance if this does not conflict with legal rules or the individual contract.
7. Delivery, acceptance and retention of title
Delivery dates are indicative unless confirmed in writing as binding.
Performance is considered handed over especially by signing a handover protocol, e-mail confirmation, delivery of goods, enabling acceptance, commissioning, making the output available, or by the customer starting to use the performance in practice.
On acceptance, the customer must check visible damage, quantity and basic conformity with the order. The customer must notify visible defects or discrepancies without undue delay.
Ownership of goods passes to the customer only after full payment of the price, unless agreed otherwise.
8. Installation and commissioning
If installation, assembly, commissioning or control setup is included, the scope follows the offer, contract or project documentation.
The customer must ensure site readiness, access, safety conditions and necessary coordination with other contractors. If the prerequisites for implementation are not met on site, Lumbio may propose a substitute date or charge additional costs.
Lumbio may use subcontractors for transport, assembly, electrical installation work, service, design, specialized measurement or other parts of the performance. Lumbio is responsible to the customer for their work within the scope of its contract with the customer.
9. Software, control, monitoring and remote administration
If software, control setup, monitoring, remote administration or a cloud service is part of the performance, the customer obtains the right to use these elements within the scope agreed in the offer or contract.
Some functions may depend on internet connection, compatible equipment, gateway, account, customer settings, availability of third parties or current software version.
Unless expressly agreed, the supply does not include continuous supervision, guaranteed response time, unlimited scene changes, long-term administration of the installation or service standby.
10. Claims and liability for defects
If a defect appears in delivered goods or performance, the customer may file a claim without undue delay. The practical procedure is described on the Claims page.
The standard warranty for delivered goods is 2 years, unless the specific offer, contract, warranty certificate, technical documentation or legal rules provide otherwise. For services, project work, installation, setup, control, monitoring and service interventions, liability is assessed according to the nature of the specific performance, the contract and legal rules.
Visible defects must be notified without undue delay on acceptance or after the customer could have discovered them during normal inspection. Hidden defects must be notified without undue delay after the customer discovers them or could have discovered them with professional care.
A defect usually does not include a problem caused by incorrect use, third-party intervention, changed input conditions, incompatible electrical installation, unsuitable environment, internet outage, normal wear and tear or use contrary to documentation.
For project supplies, the assessment may depend on the approved solution, installation, operating conditions, control settings and customer cooperation.
11. Service and paid adjustments
Service support follows the specific contract, offer or service agreement.
Paid service may include especially scene changes, control adjustments, service after third-party intervention, diagnostics of a problem outside Lumbio's liability, a repeat site visit, changes after handover or support outside the agreed scope.
12. Confidentiality and references
The parties will protect non-public business, technical, pricing, project, operational and organizational information provided or made available in connection with the cooperation.
The confidentiality obligation does not apply to information that is publicly known, independently obtained without breach of duty, or must be disclosed under legal rules.
Lumbio may use the customer's name, logo, project photos, project description or achieved results as a reference only with the customer's prior consent or within the scope expressly agreed in a contract, offer or other communication. Non-public, sensitive or security-relevant information must not be disclosed without consent.
13. Personal data

14. Limitation of liability
In business relationships, Lumbio is liable for direct damage within the scope set by legal rules and the contract, but at most up to the price of the specific engagement excluding VAT with which the damage is connected.
To the extent permitted by law, Lumbio is not liable for indirect damage, consequential damage, lost profit, loss of operation, loss of data, loss of business opportunity, contractual penalties or other sanctions imposed on the customer by a third party, unless Lumbio expressly assumed such liability in an individual contract.
This limitation does not apply where liability cannot be limited under legal rules.
15. Force majeure
Lumbio is not responsible for delay, impossibility of performance or damage caused by circumstances outside its reasonable control. This includes especially outages of suppliers, transport, energy, internet, third-party services, material unavailability, acts of public authorities, extraordinary events, security incidents, natural events or similar circumstances.
If such a circumstance occurs, deadlines are reasonably extended and the parties will provide reasonable cooperation to limit the impact.
16. Final provisions
These terms are governed by Czech law. The current wording is available on the Lumbio website.
Lumbio may change these terms from time to time. A change does not affect already concluded contracts unless the parties agree otherwise or legal rules provide otherwise.
